Is compensatory off legally required in India?
Compensatory off as a company benefit is contractual, not statutory. But where an employee is made to work on their weekly holiday, the Factories Act and most state Shops and Establishments Acts do require a substituted holiday within a defined window — so a comp off in that specific situation is a legal obligation, not a courtesy.
Two different things share the name 'comp off'. The first is the statutory compensatory holiday: section 53 of the Factories Act requires that a worker deprived of a weekly holiday receives substituted holidays within the month or the following two months, and state Shops and Establishments Acts contain comparable substitution rules. That is a legal entitlement triggered by working the weekly off.
The second is the discretionary comp off many Indian IT employers offer for extra work on any day — a release weekend, a client go-live — in place of overtime pay. Nothing in statute requires this. It exists because the employment contract or the HR policy creates it, which means the employer sets the rules: which days qualify, the expiry window, and whether approval is needed to earn and to redeem.
The distinction has a sharp practical edge. Where the statutory substitution applies, offering pay instead of the substituted holiday does not discharge the obligation, and letting the credit lapse unused is a contravention rather than a policy outcome. Where the benefit is purely contractual, a lapse rule is enforceable provided it was communicated.
Employers running both should keep them visibly separate in the leave ledger. Merging statutory substituted holidays into a general comp-off bucket with an expiry is one of the more common ways a compliant intention produces a non-compliant record.
